Please read these Terms carefully. By accessing or using the Site and Services, you agree to be legally bound by these Terms. If you do not agree, do not use our Site or Services.
1. Definitions
- “User” refers to any individual or entity accessing the Site or using our Services.
- “Client” refers to any person or business that enters into a business relationship with us for payment services.
- “Services” refers to all financial and non-financial services offered via the Site, including payment aggregation, currency conversion, and settlement.
- “Content” refers to all text, graphics, logos, trademarks, data, and code on the Site.
- “Agreement” means these Terms and all documents referenced herein, including our Privacy Policy.
2. Eligibility
You may only use our Site and Services if:
- You are at least 18 years old (or the legal age of majority in your jurisdiction);
- You have the legal authority to enter into a binding agreement;
- You use our Services in accordance with applicable laws and regulations.
If you are using the Services on behalf of a business or legal entity, you represent that you are authorized to bind that entity to these Terms. In case user’s actions lead to Solarapay Inc’s involvement in any litigation, imposition of fine, requirement to pay any kind of compensation or any other financial implications, such user shall compensate us accordingly. Users shall be liable in full for any damage to the Website caused by their inappropriate use of the Website, any of its content, information, functions and/or services.
3. Scope of Services
Solarapay Inc acts as a payment aggregator and service provider for the processing of domestic and cross-border payments. Our Services include:
- Merchant onboarding and compliance verification
- Cross-border payment facilitation and aggregation
- Currency exchange and settlement support
- Reporting, reconciliation, and analytics tools
- Fraud prevention and risk monitoring tools
Our Services are subject to regulatory requirements under Canadian law, including FINTRAC obligations, and where applicable, international frameworks (e.g., GDPR, FATF).
4. Account Registration
To access our full range of Services, you may need to register for an account. You agree to:
- Provide true, accurate, and complete information
- Keep your credentials secure and confidential
- Promptly update your information if it changes
- Accept responsibility for all activity under your account
We reserve the right to suspend or terminate any account that is inactive, inaccurate, or suspected of fraudulent use.
5. Payment and Fees
You agree to pay all fees associated with your use of our Services, including:
- Processing fees (fixed or percentage-based)
- Currency conversion charges
- Administrative or compliance-related fees (where applicable)
Fees will be communicated in advance via contract, fee schedule, or directly on the platform. We reserve the right to change our fees by providing at least 15 days’ notice unless otherwise specified in a contract.
All payments are due immediately unless specified otherwise. We may deduct fees automatically from your account balance or settlements.
6. Acceptable Use
You agree not to use the Site or Services to:
- Violate any applicable laws or regulations (including anti-money laundering and sanctions laws)
- Facilitate or engage in fraudulent or deceptive practices
- Harm or interfere with the Site’s functionality or our networks
- Transmit viruses, worms, malware, or harmful code
- Infringe on the intellectual property or privacy rights of others
We reserve the right to suspend or terminate access to any user found engaging in prohibited conduct.
7. Compliance and Verification
We may conduct:
- Identity verification (KYC)
- Business verification (KYB)
- AML/CFT risk assessments
- Screening against international watchlists (e.g., OFAC, UN, FINTRAC lists)
You agree to provide any documentation we request to satisfy compliance obligations. Failure to comply may result in service restrictions or termination.
8. Intellectual Property
All intellectual property on the Site, including trademarks, service marks, logos, source code, and content, is owned by or licensed to Solarapay Inc. You may not copy, modify, publish, distribute, or reverse-engineer any part of the Site or Services without our express written consent.
You retain ownership of any content you submit, but grant us a worldwide, non-exclusive, royalty-free license to use it as needed to deliver the Services.
9. Third-Party Services
We may integrate with or reference third-party platforms such as payment processors, identity verification services, or APIs. We are not responsible for:
- The accuracy or reliability of third-party services
- The privacy or security practices of third parties
- Any damage or loss caused by third-party tools or vendors
Your use of third-party services is governed by their respective terms.
10. Privacy

11. Service Interruptions and Disclaimers

- Continuous, uninterrupted access
- That the Site is free of errors or harmful components
- The accuracy, timeliness, or completeness of content
We may suspend the Site or Services temporarily for maintenance, upgrades, or emergency reasons.
12. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for any indirect, incidental, special, or consequential damages (including lost profits, loss of data, or business interruption)
- Our total liability for any claim arising under these Terms will not exceed the fees you paid to us in the six (6) months preceding the event
Some jurisdictions do not allow the exclusion or limitation of liability; in such cases, our liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to defend, indemnify, and hold harmless Solarapay Inc., its directors, officers, employees, affiliates, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to:
- Your use of the Site or Services
- Your violation of these Terms
- Your violation of applicable laws or third-party rights
14. Termination
We may suspend or terminate your account or access to the Site at any time, with or without notice, if we believe:
- You have violated these Terms
- You present a regulatory, reputational, or legal risk
- Continued service is not commercially viable
You may terminate your account by written notice. Obligations related to payment, confidentiality, and indemnification will survive termination.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada, without regard to conflict of laws principles.
Any disputes shall be resolved exclusively by the courts located in British Columbia, Canada, unless otherwise agreed in writing. You waive any right to a jury trial or to participate in a class action.
16. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page and take effect upon posting. You are responsible for reviewing the Terms periodically. Continued use of the Site or Services after changes signifies your acceptance.
17. Severability
If any part of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
18. No Waiver
Our failure to enforce any right or provision in these Terms does not constitute a waiver of such right or provision.
19. Entire Agreement
These Terms, along with our Privacy Policy and any applicable Service Agreements, constitute the entire agreement between you and Solarapay Inc. regarding your use of the Site and Services.
